The Group meetings are not an offer to sell or solicit to buy any security by the Group or any other entity. I will not solicit other members for business during the Group meetings. I will disclose to the Group any relationship I have had or may have with a presenting company (a “Presenting Company”), which creates or may create an actual or potential conflict between his or her personal interests and the interests of other members of the Group, and must be disclosed in the form set forth below. Accepts that members of the Steering Committee, as well as persons who introduce a Presenting Company to the Group, and persons who sponsor a Presenting Company for consideration by the Group and AngelVest staff may receive certain percentage of the investment to be made my the members of the Group in such Presenting Company. Such percentage currently is set forth as not more than ten percent (10%). I will not pursue an investment or business relationship with a Presenting Company that I was first introduced through my membership in the Group unless I have received written confirmation from an authorized representative of the Steering Committee that the members of the Group, in their capacity as members of the Group, have opted not to make an investment in such Presenting Company. Any sensitive and proprietary information received from a Presenting Company in connection with the evaluation of a potential investment in a Presenting (the “Disclosed Information”) shall be used solely for evaluating an individual investment, unless the disclosure is proven to strictly comply with the applicable laws, provided that he or she shall act in good faith. The failure to adhere to the above may result in disciplinary actions, up to and including termination of membership in the Group, without any refund of member dues.
